B. Digital Marketing

C. UI/UX & Creative Services

App and website UI/UX design
Brand identity creation
Graphic design and digital creatives

D. Media Production

Corporate videos
Branding & promotional videos
Post-production editing
Motion graphics & animations
Voiceovers & audio production

E. Printing & Branding Services

Business cards, brochures, flyers
Large format printing
Packaging design
Marketing merchandise & corporate identity solutions

Each service may require a separate agreement or project proposal outlining deliverables, timelines, and cost.

4. USE OF WEBSITE

Users agree NOT to:

Copy, download, or replicate website content without permission
Bypass security features, attempt to hack, or inject malicious code
Mirror, scrape, or extract data for any purpose
Use the website for illegal or harmful activities

We reserve the right to block or report suspicious activity.

5. QUOTATIONS, PROPOSALS & PRICING

All quotations provided by MDS Technology:

Are valid for 15 days unless otherwise stated
May change based on updated requirements
Do not include third-party fees (hosting, plugins, API, paid tools) unless clearly mentioned

Price changes will be communicated in writing.

6. PAYMENTS & BILLING TERMS

A. Payment Structure

Projects typically follow this structure:

Advance payment: 30%–50% upfront to begin work
Milestone payments based on project phases
Final payment before project delivery or deployment

B. Accepted Payment Methods

Bank transfer
UPI
Cheque (subject to clearance)

C. Late Payments

If payments are delayed:

Work may be paused
Additional fees may be applied
Access to files, servers, or deliverables may be withheld

7. PROJECT EXECUTION & CLIENT RESPONSIBILITIES

The client agrees to:

Provide required content (text, images, videos, login credentials) on time
Approve milestones promptly
Ensure content complies with copyright laws
Review deliverables before final approval

Delays in providing content will extend the project timeline.

8. REVISIONS & SCOPE CHANGES

A. Revisions

Each project includes a limited number of revisions as defined in the proposal.
Additional revisions will incur extra charges.

B. Scope Changes

If the client modifies project requirements after approval:

New features
New pages
Redesign or restructuring
Additional functionality

These will be billed separately.

9. TIMELINES & DELIVERY

Project timelines are estimates based on:

Client responsiveness
Technical complexity
Third-party dependencies

MDS Technology is not liable for delays caused by:

Client inaction
Server or hosting issues
API failures
Natural events or emergencies

10. INTELLECTUAL PROPERTY

A. Company Rights

All designs, code, graphics, and materials created by MDS Technology remain our property until full payment is made.

B. Client Rights

After full payment:

The client receives rights to the final deliverables
Source files may be provided depending on the project type
Licensing for stock images, videos, or plugins may have restrictions

C. Usage Restrictions

Clients may not:

Resell our work
Claim authorship for our designs
Distribute source code without permission

11. THIRD-PARTY SERVICES

We may use third-party services for:

Hosting
Domain registration
Plugins, themes, scripts
APIs
Cloud services

We are not responsible for:

Downtime
Pricing changes
Security breaches
Policy changes

12. DATA PRIVACY & SECURITY

We take reasonable measures to protect client data.
However:

No system is 100% secure
Clients must maintain strong passwords
We are not liable for breaches caused by third-party servers, client negligence, or external hacking attempts

13. CONFIDENTIALITY

Both parties agree to keep confidential:

Project details
Business information
Strategies
Credentials
Financial terms

Confidentiality does not apply if required by law.

14. WARRANTY & LIMITATION OF LIABILITY

A. Warranty

All services are provided "as-is" based on industry standards.
We do not guarantee:

Google ranking results
Advertising outcomes
Specific sales or business performance
Zero downtime

B. Liability Limit

Our liability is limited to the amount paid by the client for the specific service.

We are not liable for:

Loss of revenue
Loss of data
Business interruption
Client-side misuse
Issues caused by third-party platforms

15. CANCELLATION & REFUND POLICY

A. Cancellation by Client

The client may cancel the project in writing.
However:

All completed work must be paid for
Advance payments are non-refundable

B. Cancellation by MDS Technology

We may cancel service for:

Non-payment
Abuse or misconduct
Illegal activities
Violations of these Terms

C. Refunds

Refunds are NOT provided for:

Work already completed
Third-party purchases
Digital services already delivered

16. POST-PROJECT SUPPORT

After final delivery:

Support may be included for a limited period (as per proposal)
Additional support will be charged monthly or hourly
Updates, upgrades, or new changes are not free

17. TERMINATION OF ACCESS

We may suspend or terminate access to:

Websites developed by us
Hosting provided by us
Client panels
User accounts

If:

Payments are overdue
Abuse or security threats are detected
Terms are violated

18. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of India.
Any disputes shall be resolved under the jurisdiction of:

Courts of Sri Sathya Sai District, Andhra Pradesh, India.

19. CHANGES TO TERMS

We may update these Terms at any time.
Continued use of our services after updates constitutes acceptance of new Terms.
